Code of Conduct

Code of Conduct

Operating in an ethical manner is the foundation for ensuring Momentive Performance Materials Inc. (Momentive) complies with the letter and the spirit of the law. Momentive values its reputation for integrity. We strive to adhere to the highest ethical standards in the conduct of our business and to comply with all laws and regulations that are applicable to the business. Our Board of Directors and Shareholders expect honest and ethical conduct from every associate. Every employee has a responsibility to maintain and advance the ethical values of the Company. We are judged not only by the business results that we achieve but also by how we achieve them. We believe that organizations that operate ethically and with integrity build value over time and have the best chance for long-term success.

 

 

Compliance Officer 

Momentive's Code of Conduct provides guidelines on the high standards of integrity and the conduct expected of every employee. It cannot address every situation that employees may encounter but it is intended as a source of guiding principles. Momentive’s Code of Conduct also underscores a commitment to our stakeholders to operate our facilities in a safe and responsible manner.

The Momentive Board of Directors is ultimately responsible for the implementation of the respective Codes. The General Counsel of Momentive serves as our Compliance Officer to assist in the administration the Codes. 

  

Accountability and Responsibility 

It is every employee’s responsibility to read and understand Momentive’s Code of Conduct and apply these principles to the performance of their duties.

It is also every employee’s responsibility to question and report inappropriate business conduct or unethical behavior by others. Such behavior may be reported to an immediate supervisor or manager.  However, other resources are available such as Human Resources, the Legal Department, a local Ombuds Representative, or the Compliance Officer.  Employees may also use the external Ethics Line, which is available 24 hours a day, 7 days a week.  Where local law permits, employees may make an anonymous report by contacting the third party, external Ethics Line. Reports or questions can be submitted electronically or by telephone.  For the toll-free Ethics Line telephone number available in your region or a link to submit a report electronically, please refer to the external Ethics Line website at https://momentive.ethicspoint.com.  We will not tolerate retaliatory actions against any employee who in good faith reports a suspected violation of the law, Momentive’s Code of Conduct.
